Ethics & Compliance

Code of Business Conduct and Ethics

Message from leadership. Callmasters Inc. has served government, enterprise and commercial clients since 2004. Our reputation rests on doing business honestly, lawfully and with respect for every person we work with. This Code of Conduct sets out the standards we hold ourselves to. It applies to every director, officer, employee, contractor and agent of Callmasters, and we expect our suppliers, resellers and business partners to uphold the same principles when they act on our behalf.

1. Scope and Purpose

Callmasters Inc. is a Texas corporation headquartered in McKinney, Texas. This Code describes the ethical and legal standards that govern how we deliver telecommunications, IT and software solutions, how we compete, and how we treat our clients, colleagues, partners and communities. It is not a substitute for good judgment: where the Code is silent, we expect everyone to act in the spirit of integrity it describes and to ask for guidance when unsure.

2. Compliance with Laws and Regulations

We comply with all applicable federal, state and local laws of the United States and the State of Texas, and with the laws of any other jurisdiction in which we operate. This includes, without limitation, laws governing public procurement, anti-corruption, antitrust and fair competition, employment, data privacy and security, telecommunications, export control, taxation and environmental protection. Where this Code sets a higher standard than the law, we follow the Code.

3. Integrity in Public-Sector and Cooperative Contracting

A significant portion of our work is performed for federal, state, local and educational entities, including through cooperative purchasing contracts. We take the special obligations of a public-sector vendor seriously:

  • We submit accurate, complete and truthful bids, quotations, certifications, invoices and reports, and we comply with the Federal Acquisition Regulation (FAR), the False Claims Act, the Procurement Integrity Act and the Texas Government Code where applicable.
  • We do not offer, give or promise anything of value to a public official, employee or their family in order to obtain or retain business or any improper advantage. Gifts, meals or hospitality to public officials are prohibited except where expressly permitted by the official's own rules and by Texas Penal Code Chapter 36.
  • We maintain the small-business, minority-owned, women-owned and Texas HUB certifications we hold in good faith, and we represent our status accurately at all times.
  • We respect procurement blackout periods, disclose conflicts of interest as required (including Texas Form CIQ filings), and never seek non-public information about a solicitation or a competitor's proposal.

4. Anti-Bribery and Anti-Corruption

Callmasters has zero tolerance for bribery or corruption in any form, whether dealing with public officials or private parties. We comply with the U.S. Foreign Corrupt Practices Act and all applicable anti-corruption laws. We do not make facilitation payments, and we do not use third parties to do indirectly what we are prohibited from doing directly. Any gift, entertainment or hospitality must be modest, infrequent, transparent, accurately recorded and never offered with the intent to influence a decision.

5. Fair Competition and Honest Dealing

We compete vigorously but fairly on the merits of our solutions and services. We do not engage in price fixing, bid rigging, market allocation or other agreements that restrain trade, and we do not seek competitive advantage through illegal or unethical means. We deal honestly with clients, suppliers, manufacturers, distributors and competitors, and we do not misrepresent facts, conceal material information or take unfair advantage of anyone.

6. Conflicts of Interest

Everyone covered by this Code must avoid situations in which personal, family or financial interests conflict, or appear to conflict, with the interests of Callmasters or our clients. Outside employment, financial interests in suppliers or competitors, business dealings with relatives, and the acceptance of personal benefits from business partners must be disclosed to management in advance so they can be evaluated and, where necessary, managed or declined.

7. Confidentiality, Data Protection and Security

Our clients trust us with their networks, communications systems and sensitive data. We protect confidential and proprietary information belonging to Callmasters, our clients, our partners and the manufacturers whose products we sell, and we use it only for the purposes for which it was entrusted to us. We handle personal information in accordance with applicable privacy laws, including the Texas Data Privacy and Security Act and the Texas Identity Theft Enforcement and Protection Act, and in line with our Privacy Policy. We follow sound security practices, including least-privilege access, prompt reporting of suspected incidents and compliance with client security requirements such as the Texas Cybersecurity Framework, CJIS, HIPAA or NIST SP 800-171 where they apply to an engagement.

8. Respect, Equal Opportunity and a Harassment-Free Workplace

We treat everyone with dignity and respect. Callmasters is an equal opportunity employer and makes employment decisions without regard to race, color, religion, sex, sexual orientation, gender identity, national origin, age, disability, genetic information, veteran status or any other characteristic protected by federal law or Chapter 21 of the Texas Labor Code. We do not tolerate harassment, discrimination, bullying, intimidation or retaliation, whether by employees, contractors, clients or partners. We provide a safe and healthy workplace and expect everyone to follow applicable safety rules at Callmasters locations and at client sites.

9. Human Rights and Labor Standards

We respect internationally recognized human rights. We do not use, and will not knowingly do business with any supplier that uses, forced, bonded, indentured or child labor, and we comply with wage, hour and working-condition laws. We expect our supply chain to meet the same standards.

10. Accurate Books, Records and Reporting

All of our business records, including time records, expense reports, invoices, financial statements, project documentation and government submissions, must be accurate, complete and maintained in accordance with applicable law and our record-retention policies. No undisclosed or unrecorded fund or asset may be established for any purpose. We cooperate fully and honestly with internal and external audits and with lawful government inquiries.

11. Protection and Proper Use of Company and Client Assets

We safeguard the physical, financial, intellectual and information assets of Callmasters and of our clients, and we use them only for legitimate business purposes. Software, licenses, equipment and credentials are used in accordance with their terms. We respect the intellectual property rights of manufacturers, software publishers and other third parties and do not install, copy or distribute unlicensed software.

12. Export Controls and Trade Compliance

Many of the hardware and software products we supply are subject to U.S. export control and sanctions laws, including the Export Administration Regulations. We do not sell, transfer or divert products or technology to prohibited destinations, parties or end uses, and we comply with manufacturer and distributor channel requirements.

13. Environmental Responsibility

We comply with environmental laws, dispose of electronic equipment and batteries through responsible recycling channels, and seek to minimize waste and energy use in our operations and the solutions we design.

14. Suppliers, Resellers and Business Partners

We select suppliers and partners on the basis of merit, quality, price, service and compliance. We expect every supplier, subcontractor, reseller and agent who works with or on behalf of Callmasters to adhere to the principles of this Code, to maintain the required certifications and insurance, and to permit reasonable verification of compliance. Failure to do so may result in termination of the relationship.

15. Public Communications and Political Activity

Only authorized representatives may speak on behalf of Callmasters to the media, on social media or in public forums. Corporate funds, facilities and resources are not used for political contributions or campaign activity, and any personal political activity is conducted on personal time and never attributed to the company.

16. Raising Concerns and Non-Retaliation

Everyone is expected to report, promptly and in good faith, any conduct that they believe violates this Code, the law or company policy. Reports may be made to a manager, to company leadership or through the contact details below, and may be made anonymously. Callmasters will investigate reports promptly and confidentially to the extent possible. Callmasters strictly prohibits retaliation against anyone who raises a concern in good faith or who participates in an investigation. Retaliation is itself a violation of this Code and will result in disciplinary action.

17. Accountability and Enforcement

Violations of this Code may result in disciplinary action up to and including termination of employment or of a business relationship, and may be referred to the appropriate authorities where the law requires. Managers are responsible for communicating this Code, modeling its standards, and ensuring that the people and partners they oversee understand and comply with it.

18. Governing Law and Changes to this Code

This Code is published by Callmasters Inc., a corporation organized under the laws of the State of Texas, and is interpreted in accordance with the laws of the State of Texas and applicable United States federal law. Callmasters reviews this Code periodically and may amend it at any time. The current version is always available on this page.
